No Tuvalu offshore company for gaming. Tuvalu's International Companies Act limits international companies to shipping (ss.4, 5(3) and 8). Providers that sell a "Tuvalu IBC" for gaming are selling a company whose permitted objects exclude that business. The Tuvalu gaming license itself is issued to a company formed elsewhere, and its statutory basis is unverified: see the Tuvalu gaming license page.
Short answer
Tuvalu's only offshore vehicle, the international company under the International Companies Act 2009 (Cap. 40.34), must "solely carry on the business of shipping" (s.5(3)), so it cannot hold a gaming business. Ordinary companies under the Companies Act (Cap. 40.08) are domestic entities, taxed as Tuvalu residents and outside the offshore model. The licenses marketed by the Tuvalu Gaming Authority (TGA) do not require a Tuvalu company: its FAQ and its sole agent accept applicants "from most jurisdictions", and the TGA register (88 entities on 10 October 2026) is made up of foreign companies, several of them Costa Rica SRLs. Choose the vehicle for banking, tax and a fallback license, because the TGA's own statutory basis is still unverified.

What the gambling regulator expects of the company
- The TGA FAQ states that applications are accepted from companies registered in various jurisdictions and that no local entity or capital threshold is required; the agent states that "nothing has to be incorporated in Tuvalu".
- The applicant must be an incorporated company: the agent asks for KYB incorporation and ownership documents, a signed platform agreement, proof of ownership of each domain and a named compliance officer.
- Directors, shareholders and UBOs go through a fit-and-proper test; KYC is a passport and a utility bill per individual.
- Adviser sources state that companies from FATF-listed or sanctioned jurisdictions are not accepted; get written confirmation that your chosen jurisdiction is acceptable before you incorporate.
- A Principal License covers up to 15 operator permissions, each held by a separate legal entity, so group structures need one company per operator.
- Because the TGA's statutory basis is unverified, pick a vehicle that can also hold an Anjouan or Curaçao license and open accounts on its own merits.

Legal and partner check
Obtain a view on the TGA's legal basis and written confirmation from your platform, PSPs and the agent that they accept both the license and the jurisdiction of the company you plan to use.

Choose the vehicle
Decide between an existing company and a new one (Costa Rica, Anjouan, Nevis, BVI, Marshall Islands or onshore), with tax advice on where it will be managed.

Incorporate abroad
Form the company through a licensed local agent or notary in the chosen jurisdiction; the TGA FAQ allows 2–4 weeks for this.

Banking and payments
There is no Tuvalu banking route: Tuvalu has no central bank, uses the Australian dollar, and the IMF has warned that the National Bank of Tuvalu's correspondent relationships are at risk. Banking follows the vehicle and the people behind it, not the license, so plan on EMIs, high-risk PSPs and crypto processors that have confirmed in writing that they accept a Tuvalu license. An onshore or well-known offshore vehicle with real management will open more doors than the cheapest shell.

Mistakes to avoid
- Buying a "Tuvalu IBC" for gaming: Cap. 40.34 confines international companies to shipping, so the company would be outside its permitted objects and exposed to penalties and strike-off.
- Incorporating before the agent confirms that the chosen jurisdiction is acceptable, especially for FATF-listed or sanctioned countries.
- Assuming 0% Tuvalu tax means 0% tax: the vehicle's own taxes and the place of management decide the group outcome.
- Picking a vehicle that cannot later hold an Anjouan, Curaçao or EU license if the Tuvalu license loses acceptance.
- Registering domains or payment accounts in a founder's personal name instead of the licensee company.

Can I form an offshore company in Tuvalu for online gaming?
No, not in any practical sense. Tuvalu's International Companies Act 2009 (Cap. 40.34) only allows international companies that solely carry on the business of shipping. An ordinary Tuvalu company under the Companies Act is a domestic, tax-resident entity and offers no offshore advantage.
Do I need a Tuvalu company to get a Tuvalu gaming license?
No. The TGA FAQ and its sole agent both state that companies from most jurisdictions can apply and that nothing has to be incorporated in Tuvalu. You still need an incorporated company to hold the license. See the Tuvalu gaming license page for the license itself.
Which company do Tuvalu licensees use?
The TGA register shows foreign companies only, several of them Costa Rica SRLs, plus Ltd and LLC entities from other jurisdictions. Common choices are a Costa Rica company, an offshore company from Anjouan, Nevis, the BVI or the Marshall Islands, or an existing operating company. Confirm acceptance with the agent first.
How long does it take?
The TGA FAQ allows 2–4 weeks to incorporate the company and 2–4 weeks for the license; the agent quotes 3–4 weeks for the license on a complete file. Six to eight weeks end to end is a realistic plan.
Will the company pay tax?
The agent publishes 0% gaming tax and a foreign company managed outside Tuvalu is not Tuvalu-resident for income tax. The company still pays the taxes of the country where it is incorporated and may be taxed where it is managed or where its owners live.
Can the company open a bank account in Tuvalu?
Do not plan on it. Tuvalu has one leading domestic bank whose correspondent banking the IMF has flagged as at risk, and no offshore banking sector. Operators bank through EMIs, PSPs and crypto processors abroad.
Is Tuvalu covered by international AML standards?
Tuvalu joined the Asia/Pacific Group on Money Laundering (APG) in 2023 and received its first APG implementation support visit in May 2026, with its AML/CFT framework still under development. Expect banks and PSPs to apply enhanced due diligence to anything connected to Tuvalu.
