The challenge
An Italian iGaming company wanted a Romanian business entity and a Class II gambling license for its planned B2B activities.
Italy and Romania are both EU member states, but gaming activities remain subject to national rules, so the company's existing European presence did not remove the need to meet Romanian requirements.
Besides the authorization, the client needed a Romanian corporate structure and banking able to support its operations, set up efficiently and in line with the law.
Our approach
Szilaghi Consulting coordinated three workstreams so the stages of establishing the Romanian presence fitted together:
- Company incorporation: Establishing the Romanian legal entity and coordinating the corporate documentation and registration formalities.
- Romanian Class II license: Advising on the requirements for the client's activities and preparing and submitting the application to ONJN.
- Corporate banking: Establishing banking for the new Romanian entity.
The outcome
The Italian company incorporated in Romania, obtained its Class II gambling license and established corporate banking.
It now operates through a locally established, licensed company with the corporate and financial infrastructure its authorized activities need.

Romania offers real opportunities to European iGaming companies, but only with a clear grasp of local corporate and regulatory obligations.
