In short: Romanian company formed, Class II license granted, banking open and Malta recognition completed. Client: UK-based iGaming company (United Kingdom → Romania · Malta).
The challenge
A UK-based iGaming company wanted a presence in Romania and the corporate and regulatory infrastructure to support its international gaming activities.
Its objectives were to incorporate a Romanian legal entity, obtain a Class II gambling license from the National Gambling Office (ONJN), set up suitable banking and secure regulatory recognition in Malta.
Operating across several jurisdictions raised legal, administrative and commercial challenges: the corporate structure, regulatory status and banking all had to support the same international strategy. The client needed one partner to coordinate the work and give practical guidance throughout.
Our approach
Szilaghi Consulting treated incorporation, licensing, banking and recognition as one integrated project rather than separate procedures:
- Company incorporation in Romania: Establishing the Romanian company, its corporate documentation and the registration formalities.
- Romanian Class II license: Preparing and coordinating the application before ONJN, with the supporting documentation for the client's B2B activities.
- Corporate banking: Identifying and establishing suitable banking for the Romanian business.
- Malta regulatory recognition: Supporting the recognition process and coordinating the documentation for the client's Maltese objectives.
The outcome
The client incorporated its Romanian company, obtained its Class II gambling license, established banking and completed the regulatory recognition process in Malta.
It now has a structured corporate and regulatory foundation for its international B2B gaming activities.
Why it matters
For UK-based gaming businesses, entering additional regulated markets brings several legal and operational requirements at once.
A workable expansion plan considers company formation, local licensing, financial infrastructure and each jurisdiction's procedures together.
Client details are withheld by policy. Romanian Class II licensees can be checked in the ONJN public register; references are available on request, with the client's consent.
