Helping a US-based iGaming company establish its European presence and expand internationally

USA to Romania · Company formation · Class II licensing · Banking · Anjouan

In short: Romanian entity formed, Class II license granted, banking open and Anjouan recognition completed. Client: US-based gaming company (United States → Romania · Anjouan).

The challenge

A US-based gaming company asked us to establish a Romanian corporate presence and obtain the authorization needed for its B2B gambling-related activities.

Beyond company formation and Class II licensing, the client needed corporate banking and help with a regulatory recognition procedure in Anjouan.

As a business from outside the European Union, it had to handle Romanian corporate requirements, foreign shareholder documentation and the framework for gambling-related service providers, all in a coordinated way.

Our approach

Szilaghi Consulting acted as the central advisory partner across each stage of the expansion:

  • Romanian company incorporation: Preparing and coordinating the corporate documentation and registration procedures.
  • Class II gambling license: Guiding the client through the ONJN application and its requirements once the company was in place.
  • Banking: Supporting the client's corporate banking requirements, a critical piece for any gaming-related company.
  • Anjouan regulatory recognition: Coordinating the documentation and formalities of the recognition procedure in Anjouan.

The outcome

The company incorporated in Romania, obtained its Class II gambling license, established corporate banking and completed the recognition process in Anjouan.

It now has a Romanian corporate and regulatory presence, together with international regulatory arrangements aligned with its business objectives.

Why it matters

For non-EU gaming companies, a European presence depends on coordinating company formation, licensing and banking.

When recognition procedures in other jurisdictions are added, understanding how the different frameworks fit together matters even more.

Client details are withheld by policy. Romanian Class II licensees can be checked in the ONJN public register; references are available on request, with the client's consent.
